1. Definitions

In these Terms and Conditions:

• "Service" refers to apartment rental search and placement services provided by Zenith Estates
• "Client" or "You" refers to the individual or entity engaging our services
• "We," "Us," or "Our" refers to Zenith Estates
• "Property Owner" refers to landlords or their authorized representatives
• "Agreement" refers to these Terms and Conditions together with any service engagement documents

2. Acceptance of Terms

By engaging our services, submitting an inquiry, or using our website, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.

You represent that you are at least 18 years of age and have the legal capacity to enter into this Agreement. If you are entering this Agreement on behalf of an organization, you represent that you have authority to bind that organization.

3. Service Description

3.1 Overview

Zenith Estates provides professional apartment rental search and placement services in Taipei, Taiwan. Our services include property identification, viewing coordination, lease negotiation support, and administrative assistance.

3.2 Service Levels

We offer three service levels with varying degrees of support and market access:

• Core Residence Service: Basic property search and lease support
• Enhanced Property Access: Comprehensive search with expanded market access
• Comprehensive Residence Curation: Complete service with dedicated team support

3.3 Service Availability

Services are available to individuals and organizations seeking residential rental properties in greater Taipei area. We reserve the right to decline service engagements at our discretion.

4. Client Responsibilities

4.1 Information Provision

You agree to:

• Provide accurate and complete information about your residence requirements
• Supply necessary documentation for property search and lease processing
• Update us promptly regarding changes in your requirements or circumstances
• Respond to communications in a timely manner

4.2 Property Viewings

During property viewings, you agree to:

• Attend scheduled viewings punctually or provide adequate notice for cancellations
• Treat properties with respect and care
• Report any concerns or observations about properties promptly
• Not engage directly with property owners without our coordination

4.3 Lease Obligations

You acknowledge that:

• Final lease agreements are between you and property owners
• You are responsible for fulfilling all lease terms and obligations
• Our role is to facilitate and support, not to guarantee lease performance
• You should review all lease terms carefully before signing

5. Service Fees and Payment

5.1 Fee Structure

Service fees vary by service level selected and are clearly communicated before engagement. Current fees are:

• Core Residence Service: TWD 23,500
• Enhanced Property Access: TWD 81,000
• Comprehensive Residence Curation: TWD 139,500

5.2 Payment Terms

Payment terms are as follows:

• 50% due upon service engagement confirmation
• 50% due upon successful lease signing
• Payment accepted via bank transfer or approved payment methods
• All fees quoted in Taiwan Dollars (TWD)

5.3 Refund Policy

Service fees are generally non-refundable once engagement begins. However:

• If we fail to present suitable options within 60 days, a partial refund may be considered
• If service is terminated due to our failure to perform, appropriate refund will be provided
• Refund requests must be submitted in writing with supporting explanation
• Refund determinations are made at our reasonable discretion

6. Intellectual Property

6.1 Our Intellectual Property

All content on our website and in our materials, including text, graphics, logos, and software, is owned by Zenith Estates or licensed to us. You may not reproduce, distribute, or create derivative works without our written permission.

6.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use our services for your personal residence search purposes only.

7. Disclaimers

7.1 Service Provision

Our services are provided on an "as is" basis. While we strive for quality and professionalism, we do not guarantee:

• Availability of properties meeting all specified criteria
• Acceptance of your rental application by property owners
• Specific timeline for finding suitable accommodation
• Particular outcomes from lease negotiations

7.2 Property Information

Property information is provided based on data from property owners and our inspections. We cannot guarantee complete accuracy of all details. You should conduct your own inspection and due diligence.

7.3 Professional Advice

Our services do not constitute legal, financial, or tax advice. While we provide guidance based on experience, you should consult appropriate professionals for specific advice relevant to your situation.

8. Limitation of Liability

To the maximum extent permitted by Taiwan law:

• Our total liability for any claims arising from our services shall not exceed the fees paid by you
• We are not liable for indirect, consequential, or punitive damages
• We are not liable for issues arising from property owner actions or property conditions
• We are not liable for delays or failures due to circumstances beyond our reasonable control

Nothing in these Terms excludes liability for death, personal injury, or fraud.

9. Indemnification

You agree to indemnify and hold harmless Zenith Estates, its employees, and agents from any claims, losses, or expenses arising from:

• Your breach of these Terms and Conditions
• Your violation of any laws or regulations
• Your misrepresentation of information to us or property owners
• Your actions during property viewings or interactions with property owners

10. Termination

10.1 By Client

You may terminate our engagement by providing written notice. Upon termination:

• You remain responsible for fees for services already provided
• Refunds, if any, will be determined per our refund policy
• We will provide summary of work completed to date

10.2 By Zenith Estates

We may terminate our engagement if:

• You breach these Terms and Conditions
• You provide false or misleading information
• You engage in inappropriate conduct
• Circumstances make service provision impractical

10.3 Effect of Termination

Upon termination, all licenses granted to you cease, and you must cease using our materials and services.

11. Dispute Resolution

11.1 Governing Law

These Terms and Conditions are governed by the laws of Taiwan (Republic of China).

11.2 Jurisdiction

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Taipei, Taiwan.

11.3 Informal Resolution

Before initiating formal proceedings, parties agree to attempt good faith resolution through direct negotiation.

12. General Provisions

12.1 Entire Agreement

These Terms, together with our Privacy Policy and any service engagement documents, constitute the entire agreement between parties.

12.2 Severability

If any provision is found invalid or unenforceable, remaining provisions continue in full effect.

12.3 Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

12.4 Assignment

You may not assign your rights or obligations under these Terms without our written consent. We may assign our rights and obligations with notice to you.

12.5 Notices

All notices must be in writing and sent to the addresses provided in these Terms or in our service engagement documents.

13. Changes to Terms

We may update these Terms and Conditions periodically. Changes will be communicated through:

• Email notification for material changes

Continued use of our services after changes constitutes acceptance of updated Terms.
